1. Purpose
These Terms apply to vendors, resellers, agencies, implementation partners, consultants, and service providers working with WA Connect IQ.
2. Relationship
Vendors operate as independent contractors and are not employees, agents, or legal representatives of WA Connect IQ unless expressly agreed in writing.
3. Scope of Services
Vendors may provide:
* Client onboarding
* Training and implementation
* Marketing services
* Customer support
* Technical consulting
* Reseller services
Subject to written agreements where applicable.
4. Compliance Obligations
Vendors must:
* Comply with all applicable laws.
* Follow WhatsApp and Meta policies.
* Protect customer information.
* Maintain confidentiality.
* Avoid misleading representations regarding WA Connect IQ.
5. Customer Data Protection
Vendors may access customer information solely for providing approved services.
Vendors shall:
* Use data only for authorised purposes.
* Maintain appropriate security measures.
* Not sell, transfer, or misuse customer data.
6. Confidential Information
All business information, software, documentation, pricing, customer information, and technical materials provided by WA Connect IQ are confidential.
Vendors may not disclose confidential information without prior written consent.
7. Intellectual Property
All trademarks, branding, software, and intellectual property remain the property of WA Connect IQ.
No ownership rights are transferred to vendors.
8. Payments and Commissions
Where applicable:
* Commission structures will be defined separately.
* Payments are subject to verification and compliance.
* WA Connect IQ reserves the right to withhold payments in cases of fraud or policy violations.
9. Non-Misrepresentation
Vendors shall not:
* Make false claims about the platform.
* Offer unauthorized guarantees.
* Misrepresent platform capabilities or pricing.
10. Termination
WA Connect IQ may terminate vendor relationships immediately for:
* Breach of these Terms
* Fraudulent conduct
* Data misuse
* Regulatory violations
* Reputational harm
11. Indemnification
Vendors agree to indemnify and hold WA Connect IQ harmless from claims arising from their actions, negligence, or violations of these Terms.
12. Governing Law
These Terms are governed by the laws of India and subject to the exclusive jurisdiction of Delhi courts.
